CHAUFFEUR & TRANSPORTATION PROVIDER / OPERATOR AGREEMENT
Last updated 09/18/2026
INTRODUCTION
This Chauffeur & Transportation Provider / Operator Agreement (“Agreement”) governs the use of the Royal Ride Platform by independent Chauffeurs, Transportation Providers, Vehicle Owners, Fleet Owners, and Operators.
Royal Ride is operated by Royal Technology Inc. (“Royal Technology,” “Royal Ride,” “we,” “us,” or “our”).
By creating, activating, or maintaining a Chauffeur, Transportation Provider, Vehicle Owner, Fleet Owner, or Operator account, or by accepting or performing a trip through Royal Ride, you agree to this Agreement.
If you do not agree to these requirements, you may not provide transportation services through Royal Ride.
1. Definitions
Chauffeur means an individual authorized to perform transportation services through a Royal Ride account.
Transportation Provider means the independent person or business responsible for providing transportation services and complying with applicable transportation, vehicle, insurance, and legal requirements.
Operator means a person or business that owns, manages, controls, dispatches, or is responsible for one or more vehicles or Chauffeurs operating through the Royal Ride Platform.
Vehicle Owner means the person or business that owns or lawfully controls a vehicle used through Royal Ride.
An account may involve more than one of these roles.
2. Royal Ride Is a Technology Platform
Royal Technology operates a technology platform that connects passengers with independent Transportation Providers, Operators, Fleet Owners, Vehicle Owners, and Chauffeurs.
Royal Technology does not employ Chauffeurs and does not control the day-to-day manner or means by which independent providers perform transportation services, except for platform, safety, compliance, contractual, and technological requirements.
The applicable Transportation Provider, Operator, Vehicle Owner, or Chauffeur remains responsible for providing the actual transportation service.
3. Eligibility and Account Information
You must provide accurate, complete, and current information.
Royal Ride may require information or documentation concerning:
identity;
driver’s license;
driving eligibility;
vehicle ownership or authorization;
vehicle information;
commercial insurance;
registration;
permits or licenses;
business information;
tax or payment information;
safety documentation; and
other information reasonably necessary for platform compliance.
Providing false, altered, misleading, expired, or fraudulent documentation is prohibited.
4. Individual Chauffeur Responsibility
If you operate your own vehicle as a Chauffeur, you are responsible for:
your conduct;
your punctuality;
your vehicle;
required documentation;
required insurance;
passenger safety;
compliance with applicable law;
complying with Royal Ride requirements; and
completing accepted trips according to the applicable booking.
You may not transfer an accepted Royal Ride trip to another person without authorization.
5. Operator Responsibility for Chauffeurs
An Operator that places Chauffeurs or vehicles on Royal Ride is responsible for ensuring that those Chauffeurs and vehicles satisfy the Operator’s legal, contractual, insurance, safety, and Royal Ride obligations.
The Operator must:
properly authorize each Chauffeur;
ensure each Chauffeur is legally qualified to perform the applicable service;
maintain required driver documentation;
ensure each vehicle is properly authorized;
maintain required insurance;
ensure Chauffeurs understand Royal Ride requirements;
monitor Chauffeur performance;
respond to passenger complaints;
address safety or compliance issues; and
remove or replace a Chauffeur when reasonably required.
An Operator may not avoid responsibility to Royal Ride by claiming that a Chauffeur was an employee, independent contractor, subcontractor, temporary worker, or other person acting on the Operator’s behalf.
6. Chauffeur Conduct
Every Chauffeur must:
treat passengers professionally and respectfully;
arrive at the designated pickup location on time;
maintain appropriate personal presentation;
operate the vehicle safely;
follow applicable traffic and transportation laws;
keep the vehicle clean and presentable;
verify the appropriate passenger and trip;
protect passenger information;
avoid unauthorized stops or charges;
avoid discriminatory, threatening, abusive, or inappropriate conduct; and
follow Royal Ride safety and platform requirements.
7. Operator Accountability
If a Chauffeur assigned by an Operator violates Royal Ride requirements, the Operator may be held responsible under this Agreement for the provider’s compliance with Royal Ride.
Examples include:
improper late cancellation;
failure to appear for an accepted trip;
repeated lateness;
unacceptable vehicle cleanliness;
unsafe driving;
unauthorized driver substitution;
inappropriate passenger conduct;
unauthorized charges;
expired or invalid insurance;
expired documentation;
misuse of passenger information; or
repeated service complaints.
Depending on the circumstances, Royal Ride may require the Operator to correct the issue, remove the Chauffeur, suspend the applicable vehicle, place the account in pending status, restrict trip access, or terminate the Operator account.
8. Trip Acceptance
Once a Chauffeur or Operator accepts a Royal Ride trip, the provider is expected to perform the trip according to the confirmed booking.
A provider may not cancel an accepted trip for convenience or reassign it to another person without an appropriate reason and authorization where required.
Repeated or improper cancellations may result in account review, suspension, reduced access, or termination.
9. Punctuality
Chauffeurs must make reasonable efforts to arrive at the designated pickup location at the scheduled time.
Repeated lateness may result in performance review or account restrictions.
The Chauffeur must communicate promptly when circumstances outside the provider’s reasonable control create a significant delay.
10. Airport and Scheduled Waiting
For airport pickups and scheduled transportation, the applicable booking may include up to 30 minutes of complimentary waiting time.
After the complimentary period, additional waiting charges may apply according to the applicable passenger booking terms.
Chauffeurs must not independently impose or collect unauthorized waiting charges.
11. Stops and Route Changes
Passengers may request stops or route changes.
A stop that does not materially change the applicable route may be permitted without an additional stop charge when the circumstances allow.
A stop that requires meaningful travel outside the applicable route may result in additional time, mileage, or other charges according to the booking terms.
Providers may not impose unauthorized charges directly on passengers.
12. Vehicle Requirements
Every vehicle operating through Royal Ride must:
be legally authorized for the applicable transportation service;
be properly registered;
be maintained in safe operating condition;
remain clean and presentable;
meet applicable inspection requirements;
have required equipment;
match the vehicle information provided to Royal Ride; and
be appropriately sized for the confirmed passenger and luggage requirements.
Royal Ride may require photographs, inspection records, registration, or other vehicle documentation.
13. Commercial Insurance
Every vehicle operating through Royal Ride must maintain commercial automobile insurance with at least $500,000 in applicable coverage, or any higher amount required by applicable law, service, jurisdiction, contract, or Royal Ride.
The applicable Transportation Provider, Operator, Vehicle Owner, or other responsible provider must maintain the policy at all times.
The provider must provide current insurance documentation when requested.
As a condition of maintaining an active Royal Ride account, the provider must add Royal Technology Inc. to the applicable insurance policy in the required third-party policyholder, additional-insured, certificate-holder, or other insurance status required by Royal Ride and the applicable insurer.
The provider must not remove or permit removal of the required Royal Technology insurance designation while the vehicle is active on Royal Ride.
14. Insurance Monitoring
Royal Ride may verify insurance documentation and monitor expiration dates or other compliance information provided by the provider.
If required insurance:
expires;
is cancelled;
becomes invalid;
is materially changed;
no longer provides the required coverage;
or no longer identifies Royal Technology in the required status,
Royal Ride may immediately place the applicable vehicle, Chauffeur, or Operator account in pending or inactive status.
15. Upcoming Trips During Insurance Suspension
If an account becomes non-compliant because required insurance has expired, been cancelled, or otherwise becomes unacceptable, Royal Ride may remove upcoming trips from that provider’s schedule.
Royal Ride may attempt to reassign affected trips to another qualified provider when reasonably possible.
The provider may not continue performing Royal Ride trips while the applicable account or vehicle is suspended for an unresolved insurance requirement.
16. Driver Documentation and Background Checks
Chauffeurs and Operators are responsible for providing accurate information and documentation required by their applicable employer, transportation company, licensing authority, insurer, or other responsible organization.
Royal Ride’s current platform does not represent that it independently performs criminal background checks on every Chauffeur.
Where a Transportation Provider, Operator, or other organization performs or obtains a background check, that party is responsible for its own legal requirements concerning the process.
Royal Ride may require documentation or confirmation reasonably necessary for platform compliance.
17. Payment Processing
Passenger payments may be processed through Stripe or another payment service used by Royal Ride.
Providers authorize Royal Ride and its payment systems to process applicable provider payments and adjustments associated with completed trips.
Payment amounts may be subject to processing, verification, fraud review, disputes, chargebacks, refunds, corrections, or other legitimate payment procedures.
18. Tips
When a passenger provides a tip through Royal Ride specifically for the Chauffeur, 100% of that passenger-designated tip is intended for the Chauffeur who performed the applicable trip, subject to applicable law and the provider’s contractual arrangement.
An Operator receiving a tip intended for a Chauffeur is responsible for ensuring that the Chauffeur receives the full passenger-designated tip.
An Operator may not retain, divert, or treat a passenger-designated Chauffeur tip as an Operator fee except where expressly permitted by applicable law and an applicable agreement with the Chauffeur.
19. Provider Payment Timing
Provider payments may not be immediately available after a trip.
Funds may remain subject to payment processing, verification, fraud prevention, disputes, chargebacks, refunds, reconciliation, or other settlement procedures.
Depending on the circumstances, provider funds may take up to seven days or longer to become available for deposit.
Royal Ride does not guarantee a specific bank posting time after a payment has been released for settlement.
20. Passenger Information
Providers may access only the passenger information reasonably necessary to perform an assigned trip.
Providers must not:
copy passenger information for unrelated purposes;
sell passenger information;
share passenger information with unauthorized persons;
contact passengers for unrelated personal or commercial purposes; or
retain passenger information longer than reasonably necessary.
21. Live Trip Tracking
Royal Ride may provide passengers with live tracking of their assigned Chauffeur during the applicable pickup and transportation portions of a trip.
Chauffeurs and Operators must use the Platform’s location functionality only for legitimate transportation, safety, operational, and compliance purposes.
Providers may not manipulate, disable, falsify, or misuse location information.
Passenger access to the applicable live Chauffeur tracking ends after the applicable trip is completed.
22. Masked Communications
Royal Ride may provide masked telephone communication between passengers and Chauffeurs.
Chauffeurs and Operators must not attempt to bypass the Platform’s communication protections to obtain or misuse a passenger’s personal telephone number.
Royal Ride does not intentionally record telephone calls between passengers and Chauffeurs as part of its standard communication service.
23. Passenger Safety
Chauffeurs must operate vehicles safely and comply with applicable transportation and traffic laws.
A Chauffeur must not operate a vehicle while impaired by alcohol, drugs, medication, fatigue, or another condition that makes safe operation unlawful or unsafe.
A Chauffeur must not engage in distracted driving or other conduct that creates an unreasonable risk to passengers.
24. Cleanliness and Vehicle Presentation
Vehicles must be clean, odor-free, safe, and appropriately presented for the service booked.
Royal Ride may receive passenger complaints concerning cleanliness or vehicle condition.
Repeated or serious cleanliness or vehicle-condition problems may result in vehicle suspension, removal of the vehicle from the Platform, or account termination.
25. Prohibited Conduct
Providers must not:
discriminate against passengers;
threaten, harass, intimidate, or assault passengers;
sexually harass or exploit passengers;
use passenger information for unauthorized purposes;
falsify trip information;
manipulate location information;
accept payment outside the Platform to avoid applicable fees or records;
charge passengers unauthorized amounts;
substitute an unauthorized Chauffeur;
use an unauthorized vehicle;
perform trips while improperly licensed or insured; or
engage in unlawful activity through the Platform.
26. Passenger Complaints and Investigations
Royal Ride may investigate complaints involving safety, cancellations, lateness, cleanliness, unauthorized charges, passenger treatment, insurance, documentation, fraud, or other platform requirements.
Providers agree to cooperate reasonably with investigations and provide requested information or documentation.
27. Pending Status
Royal Ride may place a provider, Chauffeur, vehicle, or Operator account in pending status while required information, documentation, insurance, safety concerns, complaints, or compliance matters are reviewed.
Pending status may prevent the provider from accepting or performing new trips.
28. Suspension and Termination
Royal Ride may suspend, restrict, or terminate an account when reasonably necessary because of:
safety concerns;
insurance non-compliance;
repeated late cancellations;
repeated lateness;
unacceptable vehicle condition;
unauthorized driver or vehicle use;
fraud;
passenger abuse or harassment;
unauthorized charges;
false documentation;
unlawful conduct;
misuse of passenger information;
repeated violations of this Agreement; or
other material violations of platform requirements.
Serious violations may result in immediate suspension or termination.
29. Operator Duty to Manage Its Drivers
An Operator must maintain appropriate internal procedures for the Chauffeurs it assigns to Royal Ride.
The Operator is responsible for communicating Royal Ride requirements to those Chauffeurs and taking appropriate corrective action when a Chauffeur violates them.
Royal Ride may require an Operator to replace or remove a Chauffeur who repeatedly fails to satisfy Royal Ride’s safety, service, documentation, or compliance requirements.
30. No Direct Passenger Solicitation
Providers must not use Royal Ride passenger information obtained through the Platform to solicit passengers for unrelated transportation services or divert passengers away from Royal Ride in violation of applicable agreements or law.
31. Confidentiality
Providers must protect confidential business information, passenger information, pricing information, Platform credentials, and non-public Royal Ride information.
32. Independent Business Responsibility
Each Transportation Provider, Operator, Fleet Owner, Vehicle Owner, and Chauffeur is responsible for its own:
taxes;
licenses;
permits;
insurance;
employment or contractor relationships;
vehicle expenses;
wages or compensation;
legal obligations; and
business operations.
Nothing in this Agreement creates an employment relationship between Royal Technology and a Chauffeur or Operator.
33. Compliance With Law
Providers must comply with all applicable federal, state, and local laws, regulations, licensing requirements, transportation requirements, insurance requirements, and safety rules applicable to their activities.
34. Indemnification
To the extent permitted by law, the provider agrees to be responsible for claims, losses, liabilities, damages, and reasonable expenses arising from the provider’s unlawful conduct, negligence, misconduct, violation of this Agreement, failure to maintain required insurance, or failure to comply with applicable requirements.
An Operator’s obligations under this section may include conduct of Chauffeurs or vehicles the Operator places on the Royal Ride Platform to the extent provided by applicable law and the parties’ contractual relationship.
35. Limitation of Liability
To the maximum extent permitted by applicable law, Royal Technology will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from a provider’s use of the Platform.
Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited.
36. Changes to This Agreement
Royal Technology may update this Agreement when its services, Platform, safety requirements, insurance requirements, business practices, or legal obligations change.
Material changes may be communicated through the Platform, website, email, or another reasonable method.
The updated Agreement will identify its effective or updated date.
37. Electronic Acceptance
By selecting an acceptance checkbox, clicking an acceptance button, creating an account, activating a vehicle, accepting a trip, or continuing to use the Platform after notice of an updated Agreement, the provider agrees to this Agreement to the extent permitted by applicable law.
38. Severability
If any provision is determined to be unlawful or unenforceable, the remaining provisions remain effective to the extent permitted by law.
39. Entire Agreement
This Agreement, together with the applicable Royal Ride Privacy Policy and other policies incorporated into the provider’s use of the Platform, constitutes the agreement governing the provider’s use of Royal Ride, except where a separate written agreement expressly applies.
